Please read these terms carefully before accessing our workspace or registering as a member.
Definitions
In these Terms & Conditions, unless the context otherwise requires:
- "Company" refers to DelightCowork, its proprietors, directors, officers, employees, and authorized agents.
- "Member" refers to any individual, partnership firm, limited liability partnership, or company registered for a membership plan with DelightCowork.
- "Workspace" refers to the coworking space, private cabins, meeting rooms, conference rooms, and all associated facilities provided by DelightCowork.
- "Membership Agreement" refers to the formal agreement executed between the Company and the Member governing the terms of workspace usage.
- "Services" refers to all workspace, infrastructure, administrative, and ancillary services provided by DelightCowork.
- "Premises" refers to the physical location at 1115, Anam-2, Ambli Bopal T Junction, Opp. McDonald's, Ambli, Ahmedabad, Gujarat 380058
- "Plan" refers to the specific membership plan (dedicated desk, private cabin, team office, or managed office) selected by the Member.
- "Internal Team" refers to the management, staff, and employees of Rainstream, the operating entity managing DelightCowork.
- "Contract Plan" refers to a formal, long-term membership plan executed under a written contract with the Company, as distinct from flexible or short-term plans.
Membership Eligibility
Membership with DelightCowork is available to:
- Registered business entities (companies, LLPs, partnerships, and proprietorships)
- Self-employed professionals, consultants, and freelancers engaged in lawful work
- Startup founders, entrepreneurs, and early-stage ventures
- Corporate sales teams, field executives, and remote workers
- Any individual or organization engaged exclusively in lawful business activities
The Company reserves the right, at its sole discretion, to accept or decline any membership application without being required to provide reasons. Members must be at least 18 (eighteen) years of age. Minors are not permitted to utilize workspace facilities under any circumstances.
Membership is strictly personal and non-transferable. It may not be shared with, assigned to, or sublet to any third party without prior written consent from the Company.
Workspace Usage Rules
- Members are permitted to use the workspace and all associated facilities solely for lawful, professional business purposes.
- Members may not use the workspace for any illegal, unethical, disruptive, or anti-social activities.
- All equipment, furniture, and infrastructure provided within the workspace must be used with due care and reasonable diligence.
- Members are fully responsible for the conduct and behavior of their guests, clients, and visitors within the Premises at all times.
- Sub-leasing, re-licensing, or sharing of workspace access credentials with non-members is strictly prohibited.
- The Company reserves the right to modify the layout, configuration, or allocation of workspace areas with reasonable prior notice to Members.
Working Hours
Operating Days: Monday to Saturday
- Members are not permitted to access the Premises outside of the designated operating hours unless a specific arrangement has been confirmed in writing by Company Management.
- The Company shall not be liable for any business or operational losses incurred as a result of the workspace being unavailable outside operating hours.
- Members are expected to vacate the Premises by 07:00 PM. Failure to comply may result in additional charges and/or membership suspension at the Company's discretion.
Holidays
The Workspace shall remain closed on:
- All Sundays
- All National Public Holidays as declared by the Government of India
- Company Holidays as declared by DelightCowork from time to time, with reasonable advance notice where possible
The Company reserves the right to declare emergency or unforeseen closures without prior notice in exceptional circumstances. No deduction, credit, or compensation shall be provided to Members for closures on declared holidays, Sundays, or emergency closures.
Code of Conduct
All Members, their employees, guests, and visitors are required to maintain the highest standard of professional conduct within the Premises at all times.
6.1 Strictly Prohibited Activities
The following activities are strictly prohibited within the Premises. Violation of any item below may result in immediate membership termination without refund:
- Smoking of any kind, including cigarettes, cigars, bidis, and hookahs
- Use of tobacco products in any form (chewing, snuffing, or otherwise)
- Vaping, use of e-cigarettes, or any similar electronic nicotine delivery devices
- Chewing of gum within workspace and common areas
- Use of mobile phone speakers: phones must be used with earphones or calls taken to designated quiet zones
- Playing loud music or audio content audible to other members
- Making disturbing, disruptive, or excessive noise of any kind
- Harassment, intimidation, or threatening behavior toward Members, guests, or staff
- Bringing animals or pets onto the Premises (excluding certified service animals with prior written approval)
- Unauthorized photography or video recording of other Members or staff
6.2 Professional Behavior Standards
Members are expected to conduct themselves professionally at all times and shall treat all individuals within the Premises, including fellow members, guests, and staff, with courtesy, dignity, and respect. The Company reserves the right to determine, at its sole discretion, whether any conduct constitutes a violation of this Code of Conduct, and any such determination shall be final and binding.
Interaction Policy
To ensure smooth and uninterrupted business operations, Members and their associates are requested to limit unnecessary or unsolicited interaction with members of the Rainstream Internal Team, the operating team managing DelightCowork.
- All communication, requests, and queries must be directed through official channels: the front desk/reception, email (delightcowork@gmail.com), or phone (+91 79849 10134).
- Approaching Rainstream Internal Team members for personal, non-business related interaction, or soliciting business from internal team members, is strictly prohibited.
- This policy exists to maintain professional boundaries, protect team productivity, and ensure operational efficiency within the workspace.
Documentation Requirements
Prior to commencement of membership, all Members are required to submit the following mandatory documents:
8.1 National Identity Proof (any one)
- Aadhaar Card
- Voter Identity Card
- Passport
- Driving Licence
8.2 Address Proof (any one)
- Aadhaar Card
- Utility Bill (not older than 3 months)
- Bank Statement (not older than 3 months)
- Passport or Driving Licence
- Registered Rental / Lease Agreement
8.3 Business Documentation (as applicable)
- Certificate of Incorporation / Business Registration Certificate
- PAN Card (personal and/or company)
- GST Registration Certificate (if applicable)
All documents must be self-attested copies. The Company reserves the right to request originals for verification. Failure to provide complete and accurate documentation may result in suspension or refusal of membership. Members must notify the Company promptly of any changes to their submitted documentation.
Food & Beverage Policy
- Designated Lunch Area: Lunch, snacks, and meal-based food must be consumed exclusively in the designated Lunch Area / Cafeteria. Meals must not be consumed at workstations or in common areas outside the designated zone.
- Workstation Beverages: Tea and coffee are permitted at allocated workstations, provided they are consumed responsibly and do not cause spills, stains, or disruption.
- Prohibited Items: Alcohol or alcoholic beverages, foods with strong or pungent odors, and hot meals with sauces or gravies are not permitted within workspace areas.
- Members are responsible for maintaining cleanliness after consuming food or beverages and must dispose of all waste in designated bins.
- The Company shall not be liable for any damage to personal property (laptops, documents, equipment) resulting from food or beverage spills.
Desk Usage Policy
- Members are assigned a specific, designated desk based on their membership plan and are permitted to use only their allocated desk. Occupying or using any other workstation is prohibited without prior written authorization.
- Dedicated desk members may personalize their workspace within reasonable limits but must not affix permanent fixtures, damage furniture, or block walkways and common areas with personal belongings.
- Shared or hot-desk members must clear their allocated workstation completely at the end of each business day — no personal items may be left overnight.
- Members who consistently use workspace beyond their allocated area may face membership suspension or termination.
Cleanliness & Hygiene Policy
Members are expected to maintain cleanliness and hygiene at their workstations and all common areas of the Premises at all times.
- Keep allocated desks clean, organized, and free of clutter at all times
- Dispose of waste, packaging, and consumables in designated waste bins only
- Refrain from littering in any area of the Premises
- Return borrowed stationery, equipment, or furniture to its designated location after use
- Cooperate with cleaning staff and vacate the workspace area when cleaning is being conducted
- Refrain from personal grooming (cutting nails, applying cosmetics, etc.) at workstations or common areas
Members found consistently violating hygiene standards shall receive a written warning. Repeated violations may result in membership suspension.
Meeting Room & Conference Room Policy
- Prior Booking Required: Use of Meeting Rooms and Conference Rooms is subject to advance booking only. Walk-in usage without a confirmed reservation is not permitted. All bookings must be made through the Company's official booking system or front desk reception.
- Hourly Charges Applicable: Meeting Rooms and Conference Rooms are available on an hourly charge basis as per the Company's prevailing rate schedule. Rates are subject to revision with prior notice.
- Booking Cancellation: Members cancelling a confirmed booking must provide a minimum of 2 (two) hours advance notice. Failure to cancel in time may result in forfeiture of the applicable charge.
- Timely Vacating: Members must vacate the room at the conclusion of their booked time slot. Extension is subject to availability and additional charges.
- Members are responsible for maintaining the room in a clean condition after use, returning furniture and equipment to its original configuration, and not removing any equipment from the room.
- Any damage caused to equipment or property during a booked session shall be the financial responsibility of the Member.
Payment Terms
13.1 Security Deposit
A refundable security deposit equivalent to one (1) month's membership fee is payable at the time of onboarding. This deposit shall be refunded within 30 (thirty) days of membership termination, subject to deductions for outstanding dues, damages, or violations.
13.2 Advance Rent
One (1) month's rent is payable in advance at the time of commencement of membership.
13.3 Monthly Advance Payments
Membership fees are payable in advance on or before the 1st (first) day of each billing month. Late payment beyond 7 (seven) days of the due date may attract a late payment penalty as communicated by the Company.
13.4 Mode of Payment
Payments must be made via Bank Transfer (NEFT/RTGS/IMPS), UPI, or Cheque (subject to clearance). Cash payments may be accepted at the Company's discretion.
13.5 GST & Taxes
All fees are exclusive of applicable Goods and Services Tax (GST) and any other statutory levies. GST shall be charged at the prevailing rate as per Indian tax law and shall be borne entirely by the Member.
13.6 Non-Payment Consequences
Failure to make timely payment may result in suspension of workspace access, revocation of access credentials, and termination of membership without further notice. The Company reserves the right to recover outstanding dues through legal means.
GST Registration Policy
Use of DelightCowork's address for GST Registration purposes is permitted exclusively for Members enrolled under contract-based membership plans.
- Members on flexible, short-term, or day-pass plans are not authorized to use the Premises' address for GST registration without explicit written consent.
- Any Member found using the Company's address for GST registration without authorization shall be in material breach of these Terms and may face immediate membership termination.
- The Company shall not be liable for any GST compliance, filing obligations, or statutory duties of Members. Each Member is solely and entirely responsible for their own GST compliance.
Business Address Usage Policy
The use of DelightCowork's registered address for business purposes is permitted exclusively under contract-based membership plans and is subject to prior written consent from the Company.
15.1 Permitted Uses — Contract Members Only
- Business Website: Listing the address on the Member's official website
- Business Cards: Printing the address on professional business cards and company stationery
- Google Business Profile: Using the address for Google My Business listing
15.2 Prohibited Uses
Members on non-contract plans are strictly prohibited from using the address on any business documentation, website, digital profile, government registration, or banking or financial institution records without prior written consent. Unauthorized use constitutes a material breach and may result in immediate termination and legal action.
Parking Policy
- Two-Wheeler Parking: Parking for motorcycles and scooters is provided at no additional charge to Members, subject to space availability.
- Four-Wheeler Parking: Parking for cars and SUVs is subject to additional charges as per the Company's prevailing parking rate schedule. Members must enquire about current rates at onboarding.
- Parking Disclaimer: The Company provides parking as a convenience only. DelightCowork accepts no responsibility for loss, theft, damage, or vandalism to vehicles parked on or near the Premises. Members and visitors park entirely at their own risk.
- Unauthorized parking, blocking of fire exits, or parking in restricted zones is strictly prohibited and may result in vehicle removal at the owner's cost.
Access Control Policy
Upon successful onboarding, the Company shall provide Members with access credentials (which may include biometric registration, access cards, or digital access codes) to enter the Premises.
- Access credentials are provided for the exclusive personal use of the registered Member and must not be shared with, lent to, or transferred to any third party.
- Members must immediately notify the Company in the event of loss, theft, or compromise of access credentials. Reissuance charges may apply.
- The Company reserves the right to modify, suspend, or revoke access credentials at any time without prior notice in cases of non-payment, membership suspension, or breach of these Terms.
- Access to certain restricted areas of the Premises may be limited to specific membership categories. Members must adhere to the access privileges associated with their Plan.
Storage Facility Disclaimer
Where storage facilities (lockers, cabinets, shelves) are provided or permitted, DelightCowork expressly disclaims all liability for:
- Loss, theft, or misplacement of personal belongings
- Damage to equipment, documents, or property stored within the Premises
- Any losses arising from unauthorized access to storage areas
Members are strongly advised to avoid leaving valuables on the Premises overnight, secure personal documents and devices at all times, use personal padlocks for designated storage areas, and maintain appropriate business and equipment insurance.
Damage Recovery Policy
- Members are fully liable for any damage caused to the Premises, furniture, fixtures, equipment, infrastructure, or any other Company property resulting from the actions, negligence, or misconduct of the Member or their guests.
- The cost of repairing or replacing damaged property shall be assessed by the Company and recovered from the Member's security deposit or directly billed to the Member.
- Where damage costs exceed the security deposit, the Member shall settle the remaining amount within 15 (fifteen) days of the Company's demand notice.
- Damage claims shall be supported by photographic evidence and relevant vendor quotations as determined by the Company.
- Failure to settle damage claims shall entitle the Company to initiate legal proceedings and recover all costs, including legal and professional fees.
Fire Safety & Evacuation Rules
Compliance with all fire safety and emergency evacuation procedures is mandatory for all Members, guests, and visitors within the Premises without exception.
- Familiarize yourself with fire exit locations, evacuation routes, and assembly points upon commencement of membership
- Never obstruct or tamper with fire safety equipment, extinguishers, sprinklers, smoke detectors, or emergency exits
- Immediately alert building management or emergency services in the event of a fire, smoke, or any life-safety emergency
- Cooperate fully with evacuation instructions issued by Company staff or emergency service personnel
- Do not store flammable, hazardous, or explosive materials anywhere within the Premises
Any Member found violating fire safety regulations shall face immediate membership termination and may be held liable under applicable Indian fire safety and emergency management laws.
Notice Period
- Notice by Member: Written notice of intention to vacate must be submitted via email to delightcowork@gmail.com or as a formal letter to the Company's reception.
- Notice by Company: The Company may issue termination notice for reasons including non-payment, breach of Terms, misconduct, or business restructuring.
- Fees During Notice Period: The Member shall remain liable to pay full membership fees during the notice period, irrespective of whether they continue to physically occupy the workspace.
- Security Deposit: The security deposit cannot be adjusted against notice period fees and shall be refunded separately after all dues are cleared.
- The Company reserves the right to waive the notice period in cases of material breach, including non-payment, misconduct, illegal activities, or fire safety violations.
Suspension & Termination Rights
22.1 Grounds for Suspension (with immediate effect)
- Non-payment of membership fees for more than 7 days beyond the due date
- Breach of the Code of Conduct
- Damage to Premises, equipment, or Company property
- Conduct detrimental to the professional environment or safety of others
- Provision of false or misleading documentation during onboarding
22.2 Grounds for Immediate Termination (without notice or refund)
- Engagement in illegal activities within the Premises
- Harassment, assault, or threatening behavior toward Members, guests, or staff
- Gross violation of fire safety or emergency evacuation rules
- Unauthorized subletting or sharing of workspace access credentials
- Fraudulent use of the Company's address for unauthorized business registration
Upon termination (except in cases of immediate termination for cause), the Company shall refund the security deposit within 30 business days, less applicable deductions. In cases of immediate termination for cause, the Company reserves the right to forfeit the security deposit as liquidated damages.
Limitation of Liability
To the fullest extent permitted by applicable law, DelightCowork shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages of any nature
- Loss of profits, revenue, data, goodwill, or business opportunities
- Business interruption arising from workspace downtime, maintenance, or infrastructure failure
- Theft, loss, or damage to personal or business property within the Premises
- Internet connectivity failures, power outages, or utility disruptions
- Any losses arising from force majeure events as defined in Clause 25
The Company's total aggregate liability to any Member under these Terms shall not exceed the membership fees paid by that Member in the immediately preceding three (3) months. Nothing in these Terms shall limit the Company's liability for death or personal injury caused by gross negligence, or any matter where limitation of liability is prohibited by applicable Indian law.
Indemnification
The Member agrees to indemnify, defend, and hold harmless DelightCowork, its proprietors, officers, employees, agents, and representatives from and against any claims, actions, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:
- The Member's violation of these Terms & Conditions
- The Member's breach of any applicable law or regulation
- Any harm caused by the Member or their guests to other Members, staff, or third parties
- Any unauthorized use of the Company's address, credentials, or intellectual property
This indemnification obligation shall survive the termination or expiry of the Member's membership.
Force Majeure
The Company shall not be held liable for any failure or delay in the performance of its obligations arising from causes beyond its reasonable control, including but not limited to:
- Natural disasters — floods, earthquakes, fire, cyclones, or severe weather events
- Pandemics, epidemics, or government-declared public health emergencies
- Acts of God, war, terrorism, civil unrest, or government actions or directives
- Strikes, lockouts, or industrial disputes affecting service delivery
- Power grid failures, internet service disruptions, or utility outages
- Government lockdowns, curfews, or regulatory orders restricting access
In such events, the Company will make reasonable efforts to notify Members and resume services as soon as practicable. No refund or credit shall be due to Members for periods of closure caused by force majeure events.
Dispute Resolution
26.1 Amicable Resolution
In the event of any dispute, difference, or claim arising from or in connection with these Terms or the Membership Agreement, the parties shall first attempt to resolve the matter amicably through direct negotiation within 30 (thirty) days of the dispute being raised in writing.
26.2 Arbitration
If amicable resolution fails, the dispute shall be referred to and finally resolved by binding arbitration under the provisions of the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties. The seat and venue of arbitration shall be Ahmedabad, Gujarat, India. Proceedings shall be conducted in English. The arbitral award shall be final and binding on both parties.
Governing Law
These Terms & Conditions and any Membership Agreement entered into with DelightCowork shall be governed by and construed in accordance with the laws of the Republic of India.
Subject to the dispute resolution provisions in Clause 26, the courts of Ahmedabad, Gujarat, India shall have exclusive jurisdiction over any disputes arising from these Terms. Members expressly consent to the personal jurisdiction of such courts.
Amendments to Terms
DelightCowork reserves the right to amend, modify, or update these Terms & Conditions at any time. Amendments shall become effective upon publication on the Company's official website or upon written notification to Members, whichever is earlier.
Members' continued use of the workspace or services following publication of any amendments constitutes acceptance of the revised Terms. If a Member does not agree with any amendment, they must notify the Company within 14 (fourteen) days of publication and may exercise the option to terminate membership in accordance with the Notice Period provisions in Clause 21.
